Terms & Conditions

Effective Date: November 7, 2022 

Welcome to the RSVP Rewards Program ("Program" or "RSVP Rewards"). The following Terms and Conditions ("Terms and Conditions") form the basis of participation in the Program and govern the relationship between the individuals who enroll in the Program. Your participation in the Program is governed by and subject to these Terms and Conditions, and it is your responsibility to read and understand all of them. 

 

1. AGREEMENT 

Your Membership in the Program is conditioned on your acceptance of and ongoing compliance with these Terms and Conditions together with our Privacy Policy as stated in Privacy Policy, which is incorporated herein by reference (collectively, the "Terms"). Please read the Terms carefully before enrolling in the Program. By enrolling in the Program, you are signifying that you have read, understand, and are bound by the Terms. If you do not wish to be bound by the Terms, do not enroll in the Program. 

 

2. CHANGES TO THE TERMS 

We reserve the right to add to, modify, delete, or otherwise change the Program, including any Terms and Conditions, rules, processes, regulations, travel or other awards and special offers at any time, in our sole discretion, upon notice to you. We may give notice by posting updated Terms (whether Terms and Conditions or our Privacy Policy) on the Program webpage, by sending you an email, or by any other reasonable means. The Terms in effect at the time you use the Program will apply to your use of the Program. Continued participation in the Program after revised Terms are posted indicates your acceptance of the revised Terms. 

Changes to the Terms may affect, but are not limited to, the benefits we offer; how benefits are earned; how and where benefits may be redeemed; the terms of special offers, if any; whether benefits from third-parties may be available; Hotels at which benefits may be earned; Hotels at which benefits may be redeemed; and so on. 

 

3. DEFINED TERMS 

RSVP Rewards Points 

“RSVP Rewards Points” are points that are issued to a Qualifying Member’s RSVP Rewards account after check out from a Qualifying Stay. Although RSVP Rewards Points have no cash value and may not be redeemed for cash, RSVP Rewards Points may be applied toward the cost of future accommodations at any participating Hotel as if they were cash, subject to these Terms and Conditions, having achieved the minimum threshold of 3,000 points equivalent to $30.00 cash value. RSVP Rewards Points are earned by the RSVP Rewards Member whose name appears on the room reservation on a Qualifying Stay. RSVP Rewards Points will be awarded to the Member account 24 hours following check out from a Qualifying Stay and are otherwise subject to the Terms, as they may be updated from time to time by RSVP Rewards, in its sole discretion. Unless otherwise stated in the terms of a specific reservation, the number of RSVP Rewards Points that will be issued for each Qualifying Stay, which quantity is subject to change from time to time in RSVP Reward’s sole discretion, currently is as follows: 

RSVP Rewards Tier Levels 

RSVP Rewards program offers four different levels of membership status (“Tier Level”) (Red, Gold, Platinum and Diamond). Members are enrolled at the Red Tier Level. In order to achieve Gold, Platinum or Diamond status the Member must accumulate the required number of dollar spend in one calendar year. A calendar year is defined as a full calendar year starting on January 01 and ending on December 31. In order for a Member to maintain an achieved Tier Level, they must continue to earn the required amount of dollar spend each year.

Once a Member achieves Gold, Platinum or Diamond status, the Member will maintain that Tier Level until the end of the calendar year, plus one year after. For example, if a new RSVP Rewards Member enrolls at the Red Tier Level on April 07, 2021 and spends $250 or more by October 01, 2021, the Member will gain Gold status until the end of that calendar year (December 31, 2021) and for one more full year until December 31, 2022. The Member must continue to meet the re-qualification thresholds indicated in the chart below to maintain that Tier Level for the following years or the Member account will be subject to any applicable Tier Level downgrades on December 31 of each calender year. Each higher Tier Level earns points at a slightly faster rate as described in the section titled “Points earned per $1 spent” and permits access to more Member benefits.

Earning RSVP Rewards Points 

Points earned per $1 spent, based on pre-tax room revenue only incurred and paid for by Qualifying Members on Qualifying Rates at our Participating Brands. Red Tier Members earn 5 points per $1 spent. Gold Tier Members earn 6 points per $1 spent. Platinum Tier Members earn 7 points per $1 spent. Diamond Tier Members earn 9 points per $1 spent. Points will be awarded to the Member account 24 hours after hotel stay check-out. RSVP Rewards Point Value is as follows: 1 point = 0.01. For example, 3000 points earned x 0.01 = $30.00 cash equivalent value. Members log into their account online to view their current point balance, cash value and history of transactions. Points are based on total eligible dollars spent regardless of whether the amount is Canadian dollars, U.S. dollars or Pound sterling. The number of points earned at hotel properties where a non-Canadian dollar currency is used will be calculated based on qualifying charges converted back to Canadian dollars. 

RSVP Rewards Members earn and accumulate points that convert to cash value, similar to a cash back process. During the online booking process, Members apply that cash value to use as payment towards the cost of their stay. Free nights are achieved by redeeming enough points to pay for your entire stay. RSVP Rewards points and cash equivalent dollars are only valid within the RSVP Rewards program, and cannot be cashed out for actual legal currency.   

RSVP Rewards Bonus Points  

1,000 points for new Member sign-up (one time offer), 500 points for Member birthday (1 per calendar year, if the Member birthday has been added to their account profile), and 500 points for a first time stay at one of our hotel locations.  

RSVP Rewards Points Expiry 

Effective June 1, 2023, points will expire. Keep your RSVP Rewards account active to avoid your points expiring by completing a qualifying activity. Qualifying activity is defined as a Member having earned or redeemed eligible points. Members must complete at least ONE qualifying activity to retain the points accumulated for 18 additional months. If a Member account is inactive for 18 consecutive calendar months, that Member account will forfeit all accumulated points. Effective June 1, 2023 “Points Expiring On” messaging will appear on the dashboard of each Member account, indicating the next date their points will expire. RSVP Rewards points may not be transferred and may be used only by the Member to whom they were issued. RSVP Rewards reserves the right to deduct any RSVP Rewards points awarded to an account in error. 

The terms and conditions relating to RSVP Rewards points, including earning and redeeming eligibility and the quantity of RSVP Rewards points issued for a Qualifying Stay, are subject to change from time to time in RSVP Reward's sole discretion. 

RSVP Rewards Catalogue is a collection of items offered to Members from time to time, in its sole discretion, by RSVP Rewards. For example, RSVP Rewards may choose to offer Members the ability to purchase restaurant gift cards by redeeming points online. 

Participating Brands 

"Participating Brands" include the following brands (which list may be changed from time to time by RSVP Rewards); only Hotels operating under one of the Participating Brands in Canada, the United States, Scotland and England participate in the Program: 

  1. Sandman Hotels, Inns & Suites® 
  2. Sandman Signature Hotels & Resorts® 
  3. Sandman Hotel Group (UK) Limited®
  4. The Sutton Place Hotel Company® doing business as 
    1. The Sutton Place Hotels® 
    2. La Grande Résidences® 

Notwithstanding the foregoing, the following hotel property does not participate in the Program, and RSVP Rewards benefits will not be earned, and cannot be redeemed at Portmarnock Hotel & Golf Links, Dublin® 

Special offers and RSVP Rewards benefits may not be valid at a hotel that leaves the RSVP Rewards system or discontinues its participation in RSVP Rewards before such offer is applied, or with respect to any portion of a stay after a hotel leaves the RSVP Rewards system or terminates participation. 

Qualifying Stays 

A “Qualifying Stay” means a stay at which RSVP Rewards points are earned. To constitute a Qualifying Stay, the stay must be for one or more consecutive nights at the same Hotel under one reservation confirmation number; must have been booked at (and concluded at) a Qualifying Rate (defined below); must have been at a Hotel (which, by definition, includes only those hotels in one of the Participating Brands); must not involve the use of a gift certificate; must not be a complimentary, traded, or bartered stay; and must have been in the name of a person who was a Member as of the check-out date. A Member’s RSVP Rewards Member Number must be given at the time the reservation is made (unless the guest enrolled in the Program during an otherwise-Qualifying Stay, in which case the Member Number will be attributed to that stay at the time such Member Number is issued). Note that under no circumstances is a stay booked through an opaque website or auction website (in which the hotel brand is not disclosed at the time the reservation is begun) eligible to be considered a Qualifying Stay. Cancelled reservations or reservations cancelled outside of the property’s cancellation policy do not count towards a Qualifying Stay. Members can earn RSVP Rewards points on stays that had RSVP Rewards points applied. 

Qualifying Rates 

A "Qualifying Rate" is a rate available to the general public for a given night. RSVP Rewards points will not be earned on rates booked through OTA websites, online travel channels or third-party channels including, without limitation, expedia.com, hotwire.com, priceline.com, orbitz.com, booking.com, travelocity.com, hotels.com; or contracted rates; rates for airline staff and crew at negotiated rates or discounts; or other discounted rates, with or without a rate code. RSVP Rewards reserves the right to determine whether a rate is a Qualifying Rate in its sole but reasonable discretion. 

Qualifying Members 

A "Qualifying Member" is a Member whose name appears on the room reservation at the time of checkout. Associations, corporations, and groups are not Qualifying Members. Only one Member per Qualifying Stay may receive RSVP Rewards. If two or more Members occupy the same room, RSVP Rewards will be awarded only to the Member whose name appears on the room reservation, as the booker of the reservation, under their Member account and credit card payment. 

 

4. PROGRAM ENROLLMENT AND MANAGING YOUR ACCOUNT 

Enrolling in RSVP Rewards is free and simple. You can join RSVP Rewards online at rsvprewards.com or through one of our Participating Brands websites. RSVP Rewards program Membership and its benefits are administered by Northland Properties Corporation Support Centre, RSVP Rewards Member Services located at 310 – 1755 West Broadway, Vancouver, British Columbia, Canada V6J 4S5. 

You will not receive a physical Membership card and you don’t need one to take advantage of Membership in the RSVP Rewards program. When you sign up for RSVP Rewards, you’ll receive a welcome email with your Membership number. Your Membership information can be accessed online by logging into your account. Specially-trained service professionals are available to answer any questions about RSVP Rewards or assist with Member profiles by emailing support@RSVPrewards.com or by calling toll-free 1-800-726-3626 press 3 for Loyalty.

Membership in RSVP Rewards makes it easier for Members to make and track reservations, and to earn and apply RSVP Rewards points. Past and future stays, special offers (if any), and RSVP Rewards may be monitored and managed through your RSVP Rewards account, which may be accessed through our Program webpage at rsvprewards.com

From within your online account you are able to see past, current and future reservations associated with your Membership account, available RSVP Rewards points, profile information and more. 

 

5. APPLYING RSVP REWARDS POINTS 

Although RSVP Rewards points have no cash value and may not be redeemed for cash, RSVP Rewards points may be applied toward the cost of future accommodations at any participating Hotel as if they were cash, subject to these Terms and Conditions. To apply RSVP Rewards points, you must book a reservation online through RSVP Rewards website or through one of our Participating Brands websites; be logged into your RSVP Rewards account at the time of booking; and make a reservation at a participating Hotel. At the Payment Method section of the online booking process, if you have any RSVP Rewards points available, and have achieved the minimum threshold of 3,000 points equivalent to $30.00 cash value, you have the option to apply RSVP Rewards points to the reservation. Check the "Pay with Points" box and enter the available amount you wish to apply and redeem. Any remaining unused RSVP Rewards points can be applied to a future reservation prior to their expiration. 

(Example: (1.) Total room rate is $130.00, (2.) 3,000 RSVP Rewards points ($30.00) are applied to the reservation, (3.) remaining unused RSVP Rewards points will be available in Member's online account to use for a future reservation.) 

RSVP Rewards points will be applied to the room rate and taxes; they will not be applied to items expressly excluded by the Hotel (e.g., food and beverage; spa services; or parking, in the Hotel's discretion).   RSVP Rewards points must not have expired as of the booking date. If a Member cancels a reservation which had RSVP Rewards points applied to it, those RSVP Rewards points will be reinstated. Any no show or cancellation made outside the cancellation policy window will result in the Member forfeiting their applied RSVP Rewards points. Members can earn RSVP Rewards points on reservations that had RSVP Rewards points applied. RSVP Rewards points cannot be applied to the same Qualifying Stay for which those RSVP Rewards points were earned.  

 

6. RSVP REWARDS TIER LEVEL MEMBER BENEFITS 

RSVP Rewards Members receive additional Program benefits during Qualifying Stays at participating hotels. If a new Member joins on the day of arrival or during their Qualifying Stay, they will need to notify the front desk to associate their Membership with their reservation to enjoy RSVP Rewards benefits and to receive RSVP Rewards points. 

Members may receive some or all of the following benefit(s) during a Qualifying Stay; benefits are subject to change in RSVP Reward’s sole discretion and may be available only at participating hotels. 

Member Rates 

RSVP Rewards Member Rates benefit is available only to Qualifying Members in Red, Gold, Platinum and Diamond tier levels. In order to book a RSVP Rewards Member Rate, the Member must, at the time of booking, be logged into their RSVP Rewards account or, if the Member is booking by phone through central reservations 1-800-726-3626 press 3 for Loyalty, the Member must expressly inform the reservation agent that they are a RSVP Rewards Member and reserve a room using the Member Rate. Standard hotel or offer specific cancellation policies included at the time of booking (whichever is more restrictive) apply. 

No Blackout Dates 

RSVP Rewards No Blackout Dates benefit is available only to Qualifying Members in Red, Gold, Platinum and Diamond tier levels. In order to book a rate and override blackout dates, the Member must, at the time of booking, be logged into their RSVP Rewards account or, if the Member is booking by phone through central reservations 1-800-726-3626 press 3 for Loyalty, the Member must expressly inform the reservation agent that they are a RSVP Rewards Member and no blackout dates apply to reserve a room. Standard hotel or offer specific cancellation policies included at the time of booking (whichever is more restrictive) apply. 

Free Room Upgrade 

RSVP Rewards Member Free Room Upgrade benefit is available only to Qualifying Members in Gold, Platinum and Diamond tier levels. Subject to availability at time of check-in and will vary by Hotel. The upgrade benefit is available for one room for the personal use of the Qualifying Member only, regardless of the number of additional rooms reserved by the Member, and cannot be guaranteed in advance of check-in. When available, the complimentary upgrade is granted for at least one room level category higher than the room reserved by the Qualifying Member during every stay. 

Breakfast Box 

RSVP Rewards Member Breakfast Box benefit is only available in Canada to Qualifying Members in Platinum and Diamond tier levels. Subject to availability at time of check-in and will vary by Hotel. The Breakfast Box benefit is available for one room for the personal use of the Qualifying Member only, regardless of the number of additional rooms reserved by the Member, and cannot be guaranteed in advance of check-in. Hotel locations not participating in the Breakfast Box program, will offer Members on-site dining gift cards in lieu of a Breakfast Box. Platinum Members receive one $5 gift card and Diamond Member receive one $10 gift card, issued locally at the hotel in Canada. One Breakfast Box or Gift Card given to Qualifying Members per stay, not per night.

On-Site Dining Discount 

RSVP Rewards Member On-Site Dining Discount is available only to Qualifying Members in Platinum and Diamond tier levels. On-site restaurant brands will vary by Hotel. Discount is only valid on food and non-alcoholic beverages. Not valid with any other promotion or offer. Valid on dine-in orders only. RSVP Rewards Member must expressly inform their server about the discount and log into their account to display their name, tier level and hotel confirmation. Valid for up to 6 people in your party. Platinum Members receive 10% discount and Diamond Members receive 15% discount. 

Late Check-Out

RSVP Rewards Member Late Check-Out benefit is available only to Qualifying Members in Platinum and Diamond tier levels. Subject to availability at time of check-in and will vary by Hotel. The late check-out benefit is available for one room for the personal use of the Qualifying Member only, regardless of the number of additional rooms reserved by the Member, and cannot be guaranteed in advance of check-in. 

Early Check-in

RSVP Rewards Member Early Check-in benefit is available only to Qualifying Members in Platinum and Diamond tier levels. Subject to availability at time of check-in and will vary by Hotel. The early check-in benefit is available for one room for the personal use of the Qualifying Member only, regardless of the number of additional rooms reserved by the Member, and cannot be guaranteed in advance of check-in. 

Lounge Access 

RSVP Rewards Member Lounge Access benefit is available only to Qualifying Members in Platinum and Diamond tier levels. Subject to availability at time of check-in and will vary by Hotel. The lounge access benefit is available for one room for the personal use of the Qualifying Member only, regardless of the number of additional rooms reserved by the Member, and cannot be guaranteed in advance of check-in. 

1000 Bonus Points Per Stay 

RSVP Rewards Member 1000 Bonus Points Per Stay benefit is available only to Qualifying Members in Diamond tier level. RSVP Rewards Points will be awarded to the Member account 24 hours following checkout from a Qualifying Stay. 

Dedicated Support Number 

RSVP Rewards Member Dedicated Support Number benefit is available only to Qualifying Members in Diamond tier level. Diamond Members have exclusive access to a dedicated support number by calling: 1-877-777-5122 or by emailing support@RSVPrewards.com or by calling toll-free 1-800-726-3626 press 3 for Loyalty.  

Exclusive RSVP Rewards Offers 

We may send Members exclusive offers via email or through their RSVP Rewards account, including special introductory announcements and offers for our latest Hotels. Please review our Privacy Policy and Section 13 of these Terms and Conditions. 

MEMBER SERVICES; CREDIT FOR PAST QUALIFYING STAYS; ADJUSTMENTS IN RSVP REWARDS POINTS

If a Member did not receive RSVP Rewards points in connection with a previous Qualifying Stay, either through error or because they did not log into their RSVP Rewards account prior to booking (or advise a telephone reservation representative that they were a Member), upon Member’s request, RSVP Rewards points may be issued for Qualifying Stays that occurred up to six months prior to the day the Member makes the request for credit. RSVP Rewards Member Services do not back date or credit any non-Member past stays. 

 

9. PROGRAM TERMINATION POLICY 

All RSVP Rewards Program benefits, amenities, offers, awards and services are subject to availability and may be changed by Northland Properties Corporation (“The Company”) at any time without notice. The Company may terminate the Loyalty Program, in whole or in part, with six (6) months' advance notice to all active Loyalty Members and with less than six months' notice in any jurisdiction if required to do so by applicable law. At the Company’s sole discretion, the Company may choose to substitute a similar loyalty program for the Loyalty Program at any time immediately upon notice to active Loyalty Members. If the Loyalty Program is terminated, all unredeemed Points will be forfeited without any obligation or liability, and no Redemption Award claims or promotional Award claims will be honored after the conclusion of the notice period. 

 

10. MEMBER ACCOUNT TERMINATION POLICY 

RSVP Rewards may immediately suspend or cancel a RSVP Rewards account at any time without notice for any reason and in its sole discretion, including without limitation, if RSVP Rewards believes a Member has breached or violated these Terms and Conditions; engaged in misuse or wrongdoing in connection with the Program; acted in a fraudulent, inappropriate, hostile or abusive manner; failed to pay any amount due to any Hotel; or acted in a manner inconsistent with any applicable law, regulation, rule or ordinance. Such termination will result in an automatic forfeiture of unredeemed RSVP Rewards benefits and RSVP Rewards points without remuneration and the accountholder (the former Member) no longer will be eligible to participate in the Program. RSVP Rewards also reserves the right to terminate any RSVP Rewards account with no activity (as defined by the date of the most recent Qualifying Stay) for 18 months. 

 

11. PROGRAM FEES, COSTS, AND ELIGIBILITY 

Membership in the Program is free of charge and is available to individuals residing in countries that legally permit participation in frequent stay programs and who are 18 years of age and older. Program benefits are subject to all applicable laws, rules, regulations, and ordinances, and may be subject to applicable taxes and fees. All taxes and fees, if any, are the sole responsibility of the Member. 

 

12. PROGRAM RULES AND RESTRICTIONS 

Program Memberships and RSVP Rewards benefits are individual, non-transferrable, and may be used only by the Member whose name is listed on the account. Only one RSVP Rewards account per Member is permitted. You cannot have more than one Program Membership. 

The sale or barter of RSVP Rewards benefits, other than by RSVP Rewards, is prohibited. RSVP Rewards reserves the right to confiscate or cancel any RSVP Rewards benefit that it deems in its sole discretion to have been transferred, sold, or assigned in violation of these Terms and Conditions. 

 

13. PRIVACY 

Respecting your privacy is important to us and we will process your personal information in accordance with our Privacy Policy. We may from time to time send you certain Program information that may include, but is not limited to, marketing materials which will inform you of special offers and products we believe would be of interest to you. As part of the requirement for Membership in the Program, you will need to opt in to receive marketing messages from RSVP Rewards and the Program. You will be given the opportunity to opt out of receiving marketing materials via an unsubscribe link in RSVP Rewards emails; however, we reserve the right to continue sending you materials regarding the Program and/or your account, and you will continue to receive emails related to reservation confirmations and changes. RSVP Rewards communicates with its RSVP Rewards Members primarily via email. You acknowledge that if you choose to opt out, you may not receive notification of all benefits that are available from time to time to RSVP Rewards Members. Please see our Privacy Policy, as it is amended from time to time, for further provisions related to the use of your personal information, to which, by your use of the Program, you expressly consent. 

 

14. NO WARRANTIES 

 

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RSVP REWARDS PROVIDES THE PROGRAM, THESE TERMS AND CONDITIONS, AND ALL OTHER SERVICES AND PRODUCTS "AS IS" AND EXPRESSLY DISCLAIMS ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, SUFFICIENCY, COMPLETENESS, AVAILABILITY, OR NON-INFRINGEMENT. IN PARTICULAR, RSVP REWARDS DOES NOT REPRESENT, WARRANT, OR GUARANTEE THAT THE PROGRAM WILL BE UNINTERRUPTED, WITHOUT OMISSIONS, OR ERROR FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE PROGRAM WILL MEET YOUR EXPECTATIONS. RSVP REWARDS is not responsible for requests, applications, correspondence lost or delayed, or theft or unauthorized redemption of RSVP Rewards benefits or other Program benefits. We are not liable for any acts or omissions of third parties or any errors in relation to the Program including but not limited to errors involving pricing, descriptions of Hotels, calculation of RSVP Rewards benefits (including RSVP Rewards points), participating Hotels, or errors in identifying Qualifying Stays. RSVP Rewards is not responsible for, and reserves the right to correct, any pricing or typographical errors, errors of description, or errors regarding participating Hotels. 

 

15. DISCLAIMER OF CERTAIN DAMAGES 

 

IN NO EVENT SHALL RSVP REWARDS, ITS AFFILIATES OR ANY PARTICIPATING HOTEL BE LIABLE FOR ANY INDIRECT, SPECIAL, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY KIND, WHETHER FORESEEABLE OR NOT, ARISING OUT OF OR IN ANY WAY CONNECTED WITH YOUR PARTICIPATION IN THE PROGRAM, THESE TERMS AND CONDITIONS, OR THE TERMS. Nothing in this section will be interpreted as excluding liability that cannot be excluded, in accordance with applicable law. If you live or are otherwise subject to the laws in one of those jurisdictions, any statutory entitlement available to you will be deemed limited to the extent (if at all) permissible under the laws of that jurisdiction; if any limitation is not permitted, the exclusions in this section may not apply to you. 

 

16. RELEASE 

 

By participating in the Program, each Member agrees to release, discharge, and hold harmless, RSVP Rewards, its affiliates, subsidiaries, and their respective directors, officers, and employees from all claims arising out of any use or misuse of the Program by that Member.  

 

17. INDEMNITY 

 

You agree to indemnify, defend and hold harmless RSVP Rewards, its affiliates, subsidiaries and their respective directors, officers, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your use of the Program; (b) your violation of any of the Terms; or (c) your violation of any third-party right, including without limitation any copyright, property, or privacy right. This defense and indemnification obligation will survive the Terms, your enrollment in the Program, or the existence of the Program. 

 

18. NOTICES 

 

RSVP Rewards may give you all notices (including legal process) that RSVP Rewards is required to give by any lawful method, including by posting notice on the Program Website; by communicating with you through your Program account; or by sending it to any email or mailing address that you provide to us. You agree to keep your account information current and to check for notices posted on the Program Website. You agree to send RSVP Rewards notices by mailing them to the following address:

19. GOVERNING LAW, EXCLUSIVE JURISDICTION AND VENUE, AND CLASS ACTION WAIVER 

These Terms and Conditions are governed by the laws of the Province of British Columbia, without reference to its conflict of laws provisions. You expressly agree that exclusive jurisdiction and venue for any dispute relating to or arising from these Terms and Conditions or the Program will reside in the provincial and federal courts located in Vancouver, British Columbia, Canada. Each Member agrees not to file a class action against RSVP Rewards or participate in a class action against RSVP Rewards for any claim or action arising out of the Program or the Terms. 

 

20. GENERAL 

 

The Program is available only in those provinces, states or counties where permitted by law, and to the extent permitted by law. If any provision of the Terms is determined by a court of competent jurisdiction to be illegal, invalid, or unenforceable, the remaining provisions of the Terms will remain in full force and effect. Section titles are only for convenience and have no legal or contractual significance. All interpretations of the Terms shall be at the sole but reasonable discretion of RSVP Rewards. RSVP Rewards may assign these Terms and Conditions, in whole or in part, at any time, with or without notice to you. You may not assign, transfer, or sublicense your rights, if any, under these Terms and Conditions. If, at any time, RSVP Rewards fails to respond to a breach of these Terms and Conditions by you or others, such failure will not waive RSVP Reward's right to act with respect to subsequent or similar breaches. A waiver will be binding on RSVP Rewards only if it is in writing and signed by RSVP Rewards. These Terms and Conditions, together with our Privacy Policy constitute the entire agreement between you and RSVP Rewards with respect to your participation in the Program. Both you and RSVP Rewards warrant to each other that, in entering these Terms and Conditions, neither RSVP Rewards nor you have relied on or will have any right or remedy based upon any statement, representation, warranty, or assurance other than those expressly stated in these Terms and Conditions. The preceding sentence will not limit or exclude any liability that cannot be limited or excluded under applicable law. No one other than you and RSVP Rewards, it affiliates or RSVP Reward’s successors and assigns, will have any right to enforce any of these Terms and Conditions. You and RSVP Rewards agree that any cause of action arising out of or related to the Program must commence within one year after the cause of action accrues; otherwise, such cause of action is permanently barred.
